1. Acceptance of Terms

Welcome to VoicePin! These Terms of Service ("Terms") govern your access to and use of the VoicePin mobile application ("App," "Service," or "VoicePin"). By creating an account or using VoicePin, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not use VoicePin.

2. Eligibility

To use VoicePin, you must:

3. Account Registration and Security

Account Creation

When you create an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

Account Termination

We reserve the right to suspend or terminate your account at any time for:

• Violation of these Terms or our Community Guidelines
• Fraudulent, abusive, or illegal activity
• Impersonation of another person or entity
• Prolonged inactivity
• Any reason at our sole discretion

You may delete your account at any time through the app settings.

4. User Content and Conduct

Audio Pins ("Content")

VoicePin allows you to create, upload, and share audio recordings ("Pins") tied to geographic locations. By creating Pins, you represent and warrant that:

• You own or have the necessary rights to the audio content
• Your content does not violate any third-party rights (copyright, trademark, privacy, publicity, or other rights)
• Your content complies with all applicable laws and regulations
• Your content does not violate these Terms or our Community Guidelines

Content License

By uploading content to VoicePin, you grant us:

• A worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, display, and perform your content
• The right to make your content available to other VoicePin users
• The right to use your content for promotional purposes (with your permission)
• The right to modify or adapt your content for technical compatibility

You retain all ownership rights to your content. You can delete your content at any time.

Prohibited Content

You may not create, upload, or share content that:

• Contains hate speech, harassment, bullying, or threats
• Promotes violence, terrorism, or illegal activities
• Contains nudity, pornography, or sexually explicit material
• Violates copyright, trademark, or other intellectual property rights
• Contains spam, malware, viruses, or malicious code
• Impersonates another person or entity
• Invades privacy or shares personal information without consent
• Is false, misleading, or fraudulent
• Exploits or harms minors in any way
• Promotes self-harm or suicide
• Contains excessive profanity or offensive language

Prohibited Conduct

You may not:

• Use VoicePin for any illegal purpose
• Violate any local, state, national, or international law
• Harass, abuse, or harm other users
• Attempt to gain unauthorized access to VoicePin's systems
• Interfere with or disrupt VoicePin's servers or networks
• Use automated scripts, bots, or scrapers
• Reverse engineer, decompile, or disassemble VoicePin
• Sell, rent, or lease access to VoicePin
• Create multiple accounts to evade bans or restrictions
• Engage in any form of commercial activity without our permission

5. Content Moderation

We reserve the right to:

• Review, monitor, and moderate content at our discretion
• Remove content that violates these Terms
• Suspend or terminate accounts that violate these Terms
• Cooperate with law enforcement investigations

We are not obligated to monitor user content, but we may do so to enforce these Terms and maintain a safe community.

Reporting Violations

If you encounter content that violates these Terms, you can report it using the "Report Pin" feature. We will review reports and take appropriate action.

False reports may result in account suspension or termination.

6. Intellectual Property Rights

VoicePin's Intellectual Property

VoicePin and its original content, features, and functionality are owned by [Company Name] and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not:

• Copy, modify, or create derivative works of VoicePin
• Use VoicePin's trademarks, logos, or branding without permission

You retain ownership of content you create. However, by uploading content to VoicePin, you grant us the license described in Section 4.

7. Location-Based Services

VoicePin uses your device's GPS to provide location-based features:

• Creating pins at specific geographic locations
• Discovering nearby pins created by others
• Automatically triggering audio playback when you enter certain areas

By using VoicePin, you consent to the collection and use of your location data as described in our Privacy Policy.

You can disable location services, but this will limit core functionality of the app.

8. Third-Party Services

VoicePin integrates with third-party services, including:

• Google Maps (for map display)
• DigitalOcean (for hosting and storage)

Your use of these services is subject to their respective terms and policies. We are not responsible for the actions or policies of third parties.

9. Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information. By using VoicePin, you agree to our Privacy Policy.

10. Disclaimers and Limitation of Liability

Disclaimers

VOICEPIN IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Warranties that VoicePin will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy, reliability, or quality of content

We do not guarantee:

• That VoicePin will always be available or functional
• That user content is accurate, safe, or legal
• That the app will be free from viruses or harmful components

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOICEPIN AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use
• Damages resulting from user content or conduct
• Damages resulting from unauthorized access to your account
• Any damages exceeding $100 USD or the amount you paid to VoicePin in the past 12 months

This limitation applies even if we have been advised of the possibility of such damages.

User Responsibility

You are solely responsible for:

• Your use of VoicePin
• Content you create and share
• Interactions with other users
• Compliance with applicable laws

11. Indemnification

You agree to indemnify, defend, and hold harmless VoicePin and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of VoicePin
• Your violation of these Terms
• Your violation of any third-party rights
• Your content or conduct on VoicePin

12. Dispute Resolution

Governing Law

Arbitration Agreement

14. Termination

Termination by You

You may terminate these Terms at any time by:

• Deleting your account through the app settings
• Ceasing to use VoicePin

Termination by VoicePin

We may suspend or terminate your access to VoicePin at any time, with or without notice, for:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Extended periods of inactivity
• Any reason at our sole discretion

Effect of Termination

Upon termination:

• Your right to access and use VoicePin will immediately cease
• We may delete your account and content within 30 days
• Sections that should survive termination (disclaimers, limitations, indemnification) will remain in effect

15. Subscription and Payment Terms (If Applicable)

If VoicePin offers premium subscriptions or paid features:

Pricing

• Premium subscription prices are displayed in the app
• Prices are subject to change with notice
• All payments are processed through Apple App Store or Google Play Store

Billing

• Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period
• You will be charged for renewal within 24 hours before the end of the current period
• You can manage or cancel subscriptions in your device's account settings

Refunds

• Refunds are handled by Apple or Google according to their policies
• We do not provide refunds for partial subscription periods
• Deleting your account does not automatically cancel your subscription

Free Trial

• If offered, free trials may be available for new users
• You will be charged when the trial ends unless you cancel before the trial period expires

16. Export Control

You may not use VoicePin in violation of any export or trade embargo laws. You represent that you are not located in a country subject to a U.S. government embargo or designated as a "terrorist supporting" country.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid.

18. No Waiver

Our failure to enforce any provision of these Terms does not waive our right to enforce it in the future.

19. Entire Agreement

These Terms, together with our Privacy Policy and Community Guidelines, constitute the entire agreement between you and VoicePin regarding your use of the app.
